Terms of Service

01. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "Buyer"), and DELON ("Company", "we", "us", or "our"), concerning your access to and use of our manufacturing services, website, and related industrial products.

By engaging with our services, submitting purchase orders, or requesting OEM/ODM specifications, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

02. Business-to-Business (B2B) Only

Our products (Industrial Chillers, Heat Pumps, Circulators) are intended solely for commercial, industrial, pharmaceutical, and aerospace applications. By placing an order, you represent and warrant that you are a registered business entity purchasing for commercial use, resale, or industrial integration.

03. OEM/ODM Customization Policy

For custom manufacturing projects, including but not limited to specific temperature ranges (-80℃~35℃), material modifications (Sanitary SS tanks), or private labeling:

• Specifications: The Client is responsible for providing accurate technical requirements (cooling load, flow rate, voltage). DELON is not liable for performance issues resulting from incorrect client specifications.
• Tooling & Molds: Fees for custom tooling are non-refundable once production has commenced unless otherwise agreed in a specific manufacturing contract.
• Intellectual Property: The Client retains rights to their proprietary designs. DELON retains rights to our core cooling technologies and structural patents used within the custom solution.

04. Payment, Production & Shipping

Payment Terms: Unless stated otherwise in a formal quotation, a deposit (typically 30-50%) is required to initiate production. The balance is due prior to shipment (EXW/FOB).

Lead Times: Production timelines provided are estimates based on current factory load. While we strive to meet deadlines for critical pharmaceutical or aerospace projects, force majeure events affecting the supply chain may impact delivery.

Incoterms: Risk of loss passes to the Buyer upon delivery to the carrier. We assist with documentation for customs (CE, UL, ASME certifications) but import duties and taxes are the responsibility of the Buyer.

05. Industrial Warranty

DELON warrants that products shall be free from defects in material and workmanship for a standard period of 12 months from the date of shipment.

This warranty covers the replacement of defective parts (Compressors, Pumps, Controllers). It does not cover labor costs for on-site repair unless part of a specific service agreement. The warranty is void if equipment is subjected to misuse, neglect, or improper installation contrary to our technical manuals.

06. Governing Law

These Terms shall be governed by and defined following the laws of the People's Republic of China. DELON and yourself irrevocably consent that the courts of Zhangjiagang, Jiangsu Province shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
